This Engagement Agreement ("Agreement") governs the relationship between Ithildin Systems LLC ("we," "us," "Ithildin Systems") and the client ("you," "Client") purchasing a Relocation Intelligence Engagement. By completing payment through our checkout and accepting these terms, you agree to be bound by this Agreement.
We have written this in plain English on purpose. If anything is unclear, reply to your confirmation email and we will answer in plain English.
01 What You Are Purchasing
The Relocation Intelligence Engagement consists of the following deliverables:
- Intake Call A 60-minute call to establish your relocation requirements, constraints, and priorities. Recorded with your consent.
- Intelligence Brief A written report analyzing multiple candidate locations against your weighted requirements, including a comparative matrix, location briefs, and a deep-dive on the recommended location.
- Debrief Call A 60-minute call to walk through the report, answer questions, and discuss next steps.
- Action Checklist A prioritized list of verification steps you should complete before committing capital to a move.
- 30-Day Follow-Up One follow-up session within 30 days of report delivery to address new questions as your search progresses.
The report is typically delivered within 2 to 4 weeks of the intake call, depending on complexity. If circumstances require additional time, we will notify you.
02 Fee and Payment
The total fee for the engagement is $2,500 USD, payable in full at the time of engagement via our secure checkout (Stripe). No additional fees, hidden charges, or success fees apply. We do not bill hourly or request additional payment for work within the agreed scope.
03 What This Is Not
Our report is an independent intelligence assessment. It is not legal advice, tax advice, real estate advice, medical advice, financial advice, or investment advice. We are not licensed attorneys, tax professionals, real estate agents, physicians, or financial advisors.
Before making any decision based on our findings, you agree to independently verify the information with appropriate licensed professionals in the relevant jurisdictions.
04 Your Responsibilities
To get maximum value from the engagement, you agree to:
- Provide accurate and complete information during the intake call.
- Independently verify all findings with licensed professionals before acting on them.
- Understand that information in the report reflects conditions as of the research date and that regulatory, climate, market, and infrastructure conditions can change.
- Use the report solely for your own relocation decision-making and not redistribute, resell, or share it publicly.
05 Satisfaction Guarantee
You may request a full refund at any time before report delivery, or within 30 days after report delivery, if you are not satisfied with the engagement or the quality of the work. Refunds are processed within 5 business days to the original payment method.
We offer this guarantee because we believe in the quality of our work and we want you to feel that the engagement is risk-free. The guarantee applies to the engagement itself — it does not cover outcomes that depend on factors outside our control (such as your decision to move to a location, conditions changing after research, or the actions of third parties).
06 No Warranties
We perform our work with professional care using authoritative sources, spatial analysis, and primary-source interviews. However, we do not guarantee:
- That any particular location will meet all of your expectations.
- That conditions documented in the report will not change.
- That third parties (government offices, utilities, service providers) will provide services consistent with what they told us.
- Any specific financial, health, safety, or lifestyle outcome.
The report is provided "as is" and "as available" based on information accessible to us at the time of research.
07 Limitation of Liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of or related to this Agreement, the engagement, or the report — whether in contract, tort, warranty, or otherwise — is limited to the fees you actually paid to us (i.e., $2,500).
In no event shall we be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost equity, moving costs, emotional distress, or loss of opportunity — even if we have been advised of the possibility of such damages.
This limitation does not apply to liability arising from our fraud, gross negligence, or intentional misconduct.
08 Confidentiality and Our Commitments
We make the following commitments to you:
- We will not sell, share, or disclose your personal information or engagement details to any third party without your consent, except as required by law.
- We do not accept commissions, referral fees, or any compensation from real estate agents, developers, insurance companies, service providers, or any other parties mentioned in our reports.
- Our only revenue is the fee you pay us. Our only obligation is to you.
Communications consent. When you submit a consultation request on our website, you explicitly consent to being contacted by Ithildin Systems LLC via email, phone, or text at the contact information you provided, for the purpose of discussing your relocation consultation request. You may withdraw this consent at any time by replying to any communication from us or by emailing contact@ithildinsystems.com. Withdrawing consent does not affect the lawfulness of communications based on consent before its withdrawal.
09 Intellectual Property
You receive a non-exclusive, non-transferable license to use the report for your personal relocation decision-making. You own the report content insofar as it concerns findings about your specific requirements and locations.
We retain all rights to our methodology, analytical frameworks, report templates, scoring systems, and proprietary tooling. Nothing in this Agreement transfers those rights to you.
10 Termination
Either party may terminate this Agreement at any time by written notice (email is sufficient). Refunds are governed by Section 05 (Satisfaction Guarantee), which provides for a full refund at any time before report delivery or within 30 days after report delivery.
Ithildin Systems reserves the right to decline or terminate an engagement if we determine we cannot serve the client well (for example, if the requirements fall outside our expertise, if conflicts of interest arise, or if the client cannot provide the information needed for meaningful analysis). In such cases, any fees paid will be refunded in full.
11 Dispute Resolution
If a dispute arises, both parties agree to first attempt to resolve it through good-faith direct communication. If that fails, we agree to attempt informal mediation before initiating any legal proceeding.
Any legal action arising from this Agreement shall be filed in the state or federal courts located in the jurisdiction where Ithildin Systems LLC is organized. Both parties consent to the exclusive jurisdiction of these courts.
12 Governing Law
This Agreement is governed by the laws of the state where Ithildin Systems LLC is organized, without regard to conflict of law principles.
13 Entire Agreement
This Agreement constitutes the entire agreement between you and Ithildin Systems LLC regarding the engagement and supersedes any prior discussions, proposals, or communications. If any provision is found unenforceable, the remaining provisions continue in full effect.
We may update these terms from time to time. The version in effect at the time you completed payment governs your engagement.
14 Acceptance
By checking the acceptance box at checkout and completing payment, you represent that:
- You have read and understood this Agreement in full.
- You are at least 18 years old and legally authorized to enter into this Agreement.
- You agree to be bound by all terms above.
Your agreement, your identity, and the timestamp of acceptance are recorded as part of the payment transaction.
